Corporate Legal Officer

About the role

Centralis is seeking a Corporate Legal Officer to join its Shared Service Center Corporate Secretary (SSC Cosec) team in Sofia. You will support corporate secretary services for clients across Luxembourg, Switzerland, the UK and the Netherlands, ensuring legal compliance and high‑quality documentation.

Key responsibilities

• Maintain legal standards for corporate documentation and secretary services delivered to multi‑jurisdictional clients.
• Organise and attend board meetings, prepare agendas, board packs and minutes.
• Draft corporate legal documents such as agreements, addendums, and corporate deeds (share capital changes, dissolution, liquidation, etc.).
• Coordinate company incorporations and file corporate updates with trade registers.
• Update statutory information in internal databases and registers.
• Provide ad‑hoc legal and compliance information to internal and external teams.
• Collaborate with financial reporting teams to ensure required legal documentation is in place.
• Maintain effective communication streams with all Centralis departments and follow SSC Cosec procedures.

Required profile

• Law degree with a focus on corporate law and investments.
• Minimum of 4 years of experience in a corporate legal or company secretarial role.
• Strong company secretarial skills and experience drafting corporate legal documents.
• Fluent English with excellent written and verbal communication; French or German is a plus.
